Green Cart Social Private Club Membership Agreement

1. Parties and application

This agreement is entered into between Green Cart, operating as a private members' club, and you, the applicant or member. It applies from the date you submit an application and accept these terms electronically, and it governs your relationship with Green Cart alongside the Club Rules, Privacy Policy and POPIA Notice.

2. Nature of the private club

Green Cart is a private adult members' club. Member-only services, products and community features are made available to verified and approved members only, and are not offered to the general public. The platform provides a private digital space for lawful, responsible participation by adults.

3. Eligibility and age requirement

Membership is open only to persons who are 18 years of age or older and who are legally permitted to participate. You confirm that all information you supply is accurate and that you meet the eligibility requirements.

4. Application, verification and approval

Registration is an application and does not guarantee membership. Green Cart may verify your age, identity and eligibility, and may approve, decline, suspend or terminate an application or membership. We may request a valid identity document and additional information for these purposes.

5. Membership status and account security

You are responsible for keeping your account credentials confidential and for all activity under your account. You must notify Green Cart promptly if you suspect any unauthorised access and take reasonable steps to limit any resulting harm.

6. Personal, private and lawful participation

Membership is personal and non-transferable. Member-only products and services are for your own private and lawful use. Resale, unlawful distribution and any supply to minors are strictly prohibited.

7. Prohibited conduct

You may not use the platform for any unlawful purpose, misuse products or services, harass other members, submit fraudulent orders, attempt chargeback abuse, or tamper with the website or its systems.

8. Orders, member requests and availability

Member requests and orders are subject to availability, verification and approval. Green Cart may decline or limit a request where necessary for legal, safety or operational reasons.

9. Pricing, fees and payment

Applicable fees, contributions and prices are shown before you confirm. Payment is processed by third-party payment providers. Where a membership contribution applies, the terms of that contribution are presented at the point of payment.

10. Collection and delivery

Delivery and any collection options are described in the Shipping and Delivery Policy. Delivery is available only to supported locations and verified adults, and valid identification may be required on handover.

11. Product information and responsible use

Product and educational information is provided for general guidance. Members must use products responsibly and in accordance with the Responsible Use Policy.

12. No medical advice

Nothing on the platform is medical advice or a treatment claim. Consult a qualified healthcare professional for advice about your individual circumstances.

13. Privacy and identity-document processing

Personal information, including identity documents, is processed in accordance with the Privacy Policy and POPIA Notice for verification, membership administration, security and compliance purposes.

14. Member communications and optional marketing consent

Green Cart will send service and account communications necessary to administer your membership. Marketing communications are optional, require your separate consent, and can be withdrawn at any time.

15. Intellectual property

All content, branding and materials on the platform are owned by Green Cart or its licensors and may not be copied or reused without permission.

16. Suspension and termination

Green Cart may suspend or terminate membership for breach of this agreement, the Club Rules or applicable law, or where reasonably necessary for safety, legal or operational reasons.

17. Cancellation by the member

You may cancel your membership in accordance with the cancellation terms presented at sign-up and in your account. Cancellation does not affect obligations accrued before the cancellation takes effect.

18. Complaints and dispute handling

Complaints are handled in accordance with the Complaints and Dispute Procedure. We aim to resolve concerns fairly and promptly.

19. Limitation of liability subject to applicable law

To the extent permitted by applicable South African law, Green Cart's liability is limited. Nothing in this agreement excludes or limits any liability that cannot lawfully be excluded or limited.

20. Indemnity subject to applicable law

To the extent permitted by law, you indemnify Green Cart against loss arising from your unlawful use, breach of this agreement or misuse of products or services.

21. Changes to the agreement

Green Cart may update this agreement. Material changes will trigger renewed acceptance where technically and legally appropriate.

22. Notices and electronic communications

You agree to receive notices and communications electronically. Notices to Green Cart should be sent using the contact details on the Legal Contact page.

23. Governing law and jurisdiction

This agreement is governed by the laws of South Africa and is subject to the jurisdiction of the South African courts.

24. General provisions

If any provision is found unenforceable, the remaining provisions continue in effect. This agreement, together with the documents it incorporates, forms the entire agreement between you and Green Cart.

25. Member declaration and electronic acceptance

By accepting electronically, you confirm that you are 18 or older, that your information is accurate, and that you have read, understood and agree to be bound by this agreement and the documents it incorporates.

Your rights as a consumer under applicable South African law are not excluded by this agreement.
